Conditions of purchase

 

Photovoltech General Conditions of Purchase

1.      Without prejudice to the more specific provisions appearing in the order forms, contracts or other documents issued by Photovoltech (“purchaser”), orders are only completed subject to the conditions of purchase set out below.  Specific conditions appearing on order forms, contracts or other documents issued by Photovoltech apply only to that specific order and cannot be regarded as general. Verbal agreements are accepted only on written confirmation.

 

Changes to the order
2.
      The purchaser is entitled to change the delivery date for an order provided the change is notified in writing to the supplier in good time.

 

Supply
3.
       Despatch and carriage are undertaken at the supplier’s risk and expense. The purchaser must confirm in writing beforehand if despatch expenses are to be charged to the purchaser. All supplies must be despatched to the delivery address as stated in the order.  All supplies are considered made within the normal opening times of the business.

       Packaging is chargeable to the supplier. Packaging must be adapted to transit and will comply with the current regulations. Packaging must avoid any form of damage in transit. If packaging is regarded as of value, it will be returned to the supplier on request without charge to the purchaser. Packaging must be provided with labels indicting the order number, our reference numbers and quantities.

       Delivery dates as stated on the order must be strictly adhered to. In the event of delay, the purchaser reserves its right to declare the order void. The agreed delivery dates may be departed from only with the purchaser’s prior consent.

 

Supplier’s guarantee
6.     The supplier declares that it holds us harmless against all possible complaints on the part of holders of patents of invention or owners of manufacturing processes for articles offered or supplied.

 

Approval
7.
      Goods may be received only at the following delivery address: Grijpenlaan 18, 3300 Tienen. The Photovoltech warehouse is open from Mondays to Thursdays from 8:00 to 12:00 hrs and from 12:30 to 16:00 hrs and Fridays from 8:00 to 12:00 hrs and 12:30 to 14:00 hrs. Goods may be delivered outside these periods only by prior agreement. Signature on receipt does not indicate that we approve the goods. The material must comply with the health and safety laws and regulations in accordance with the Royal Decree of 20 June 1975. All documents and information in this connection must accompany the supply. Goods not signed for receipt cannot be accepted.

      The purchaser reserves its right to refuse all goods not executed in accordance with the agreed conditions and to return these goods at the supplier’s expense. Temporary storage of refused goods cannot be regarded as approval and acceptance; the supplier bears the risk and expense of such storage.

 

Quality control
9.      The purchaser reserves its right to return goods that do not conform to the ordered quality at the supplier’s expense. In case of impairments, only quantities approved by the purchaser will be accepted. The supplier is at liberty to ascertain this on the spot; any expenses resulting in consequence may be charged to the supplier.

 

Invoices
10.
   Invoices will be paid only if they meet the conditions of purchase and if they contain the references on the order form issued by the purchaser (at least: PO number, item numbers, quantities, prices, weight of the goods, incoterms and customs tariff code). The purchaser reserves its right to return invoices that do not meet the above requirements. The term for payment will commence only when the correct invoice is received, irrespective of the original invoice date.
11.
   Invoices will be paid at 60 days following receipt thereof, unless stated otherwise on the order form or in the supply contract.

 

Conflicts of interest
12.     We do not wish to receive favours or customer gifts.

 

Disputes
13.
    All disputes that are not amicably settled will be submitted to the Commercial Court in Brussels. Belgian law applies.
